General terms and conditions applicable to payment by credit card / Europe

 

These general terms and conditions (the "GTC") govern the contractual conditions applicable to the online payment of your invoices by credit card, without prejudice to the provisions of the content license agreement entered into between you and AFP.

By accepting these GTC online at the time of payment by credit card, you agree to abide by them.

For the purposes of these GTC, the terms :

• “AFP", "we", "us" and "our": refer to Agence France-Presse and, where applicable, its partners.
• “Agreement": refers to the content licensing agreement entered into between you and AFP.
• “Material": refers to: all of the information content referred to in the Specific Conditions of your Agreement.
• "Subscriber", "you", and "your":  refer to the contracting company that has signed the Agreement with AFP.

Any condition contrary to the provisions of your Agreement or to these GTC shall be unenforceable in the absence of AFP’s express acceptance, regardless of the time at which it may have been brought to AFP's attention.

You are hereby informed that AFP has enlisted the services of Adyen as its partner for payment by credit card. The general terms and conditions of Adyen's payment platform are available at the following address: https://www.adyen.com/legal/adyen-terms-and-conditions.

 

1. Description of Material

The Material to which you have access in return for payment of your invoice is the one provided for in your Agreement.

 

2. Terms of payment

Payments may be made on a monthly, quarterly, semi-annual or annual basis, depending on the terms  of your Agreement, and are made on the basis of a subscription and for the duration as set forth in your Agreement.

 

3. Legal entity responsible for payment processing

Unless otherwise specified in your Agreement, the legal entity responsible for processing payments is the head office of Agence France-Presse, located at 11-13-15 place de la Bourse, 75002 Paris, France.

 

4. Applicable law and jurisdiction

The applicable law which governs your Agreement, and the jurisdiction appointed in the event of a dispute are those specified in your Agreement.

 

5. Delivery information

The conditions relating to the delivery of the Material are set out in your Agreement.

 

6. Termination and warranty

The termination and warranty conditions are set out in your Agreement. The Material cannot be returned and there can be no refund. Payment under your Agreement is due whether or not the Material is used.

 

7. Personal data

The conditions under which your personal data will be processed are set out in your Agreement. 

AFP undertakes to comply with the regulations relating to the protection of personal data and in particular Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data ("GDPR").
Please note that in order to carry out your bank card payments, AFP uses the payment service provider Adyen, which is committed to complying with the GDPR. Adyen processes transaction data both as a data processor on behalf of AFP, and as a data controller. 9. Miscellaneous

If one or more of the provisions of these GTC are held to be invalid or declared invalid in application of a law or regulation, or following a final decision by a competent court, the other provisions shall in any case retain their force and scope.
